The Legal Department of JPMorgan Chase is responsible for the provision of legal services to the Firm and is organized by Practice Groups that conform to the organization of the Firm's lines of business and corporate staff areas. This structure encourages legal teams to communicate legal and regulatory changes to the businesses and staff areas and for the lines of business and staff areas to communicate business developments that have legal or regulatory implications to the legal teams in a timely manner.
JPMorgan Chase's Legal Department is seeking a candidate with experience with tax-exempt organizations to serve as a Vice President and Assistant General Counsel for Corporate Responsibility (CR) based in Washington, DC. The CR Law team advises the CR Department on charitable giving, grant-making, non-profit governance, impact investing, research and policy, communications and sustainability.
The CR Department is responsible for the development and implementation of the Firm's corporate responsibility agenda by crafting goals, policies and initiatives that align with and support the Firm's business strategies, reflect our values and support the communities where we do business. Support the provision of legal advice and transactional support to CR
Advise on domestic and international grant-making and ensure compliance with tax laws and regulations applicable to private foundations and other 501(c)(3) organizations (expenditure responsibility, foreign charity equivalency determinations, self-dealing and private benefit analysis, etc.)
Draft, review and negotiate grant agreements, sponsorship agreements, services agreements and other contracts
Review, recommend and implement compliance with internal policies and procedures
Analyze regulatory and legislative developments impacting philanthropic giving, including advice regarding implementation
Provide advice and counsel on corporate governance matters
Advise on environmental, social and governance (ESG) matters, including impact investing and sustainability
Review external communications (press releases, website content, sponsored content) and reports
Advise on the workplace giving program, which supports employee charitable giving
Liaise with the CR Grants Management team and other business representatives as well as lawyers in the Legal Department
JD. Candidates must be in compliance with all relevant licensing requirements including the requirements of the jurisdiction where the role will be located
At least 5 years of experience practicing at a law firm or in-house legal department
Experience in the laws that govern non-profits, including charitable organizations
Experience with ESG and impact investing a plus
Familiarity with a broad range of federal and state legal issues in the exempt organizations field, including grant-making, charitable contributions, governance, commercial co-ventures and tax
Strong contract drafting and negotiation skills
Excellent verbal and written communication skills, including for advising senior management of risk, challenges and solutions
Demonstrated ability to exercise independent judgment and initiative, to manage and prioritize multiple tasks, and to work under deadlines and changing priorities in a high performance environment
Ability to effectively navigate a large, complex organization
Ability to work collaboratively with a diverse team of legal and other professionals, within the Legal Department and across functions
